1. Why does Systems Union Group plc want to take over MIS AG?

Systems Union Group plc and MIS AG dispose of complementary software competence in the areas of Enterprise Resource Planning (ERP) and Business Intelligence, which, if combined in one group, would create additional value for the customers, employees and shareholders of both companies.

2. What do the shareholders of MIS AG have to do now? What is the further course of action?

Following the approval of BaFin on 31 October 2022 , Systems Union Group plc has published a detailed offer document. The acceptance period starts on 1 November 2022 and ends on 1 December 2022 , 24:00 hrs (CET). In case the depositary bank is located in the Federal Republic of Germany the MIS shareholders will be provided by their relevant depositary bank with information on the offer and an acceptance form. Furthermore, these documents can be found on this website. To accept the offer the completed and signed acceptance form has to be transmitted to the depositary bank before the end of the acceptance period.

3. What is the offer price per share?

EUR 10.00 per non-par-value bearer share of MIS AG with a calculated value in the registered share capital of EUR 1.00 attributed to each share.

4. What is the duration of the acceptance period?
The acceptance period starts on 1 November 2022 and ends on 1 December 2022 , 24:00 hrs (CET). Upon expiry of the acceptance period and publication of the number of shares the bidder is entitled to at that time, the shareholders will have two more weeks within which they can still accept the offer. This further acceptance period is intended to start on 4 December 2022 and end on 18 December 2022 , 24:00 hrs (CET) provided the acceptance period is not extended due to any legal requirements.

5. When will the offer be settled and the offer price be paid?

Assuming a submission of the signed acceptance form with your custodian bank within the regular acceptance period the offer price will be paid upon expiry of the regular acceptance period. Assuming a submission of the signed acceptance form with your custodian bank within the following further acceptance period the offer price will be paid upon expiry of the further acceptance period. 1. Warum möchte Systems Union Group plc die MIS AG erwerben?

Die Systems Union Group plc und die MIS AG verfügen über komplementäre Softwarekompetenz in den Bereichen Business and Financial Software Solutions und Business Intelligence, durch deren Bündelung in einer Gruppe für Kunden, Mitarbeiter und Aktionäre beider Unternehmen Mehrwert geschaffen werden kann.

2. Was müssen die Aktionäre der MIS AG nun tun? Wie ist der weitere Ablauf?

Systems Union Group plc hat nach Gestattung durch die BaFin am 31. Oktober 2022 eine detaillierte Angebotsunterlage für das Übernahmeangebot veröffentlicht. Die Frist für die Annahme des Übernahmeangebots beginnt mit Veröffentlichung der Angebotsunterlage am 1. November 2022 und läuft bis zum 1. Dezember 2022 , 24:00 Uhr (MEZ). Soweit das jeweilige depotführende Institut seinen Sitz in der Bundesrepublik Deutschland hat, werden den Aktionären der MIS AG von diesem Informationen zum Übernahmeangebot und das Annahmeformular zur Verfügung gestellt. Im übrigen können diese Informationen auch auf dieser Website abgerufen werden. Um das Angebot anzunehmen, muß das ausgefüllte und unterschriebene Annahmeformular vor Ende der Annahmefrist an das jeweilige depotführende Institut übermittelt werden.

3. Welcher Preis wird beim Übernahmeangebot gezahlt?

EUR 10,00 je auf den Inhaber lautende Stückaktie der MIS AG mit einem auf jede Aktie entfallenden rechnerischen Anteil am Grundkapital von jeweils EUR 1,00.

4.Wie lange dauert die Annahmefrist?

Die Frist für die Annahme des Übernahmeangebots beginnt am 1. November 2022 und läuft bis zum 1. Dezember 2022 , 24:00 Uhr (MEZ). Nach Ablauf der Annahmefrist und Veröffentlichung der Anzahl der der Systems Union Group plc zu diesem Zeitpunkt zustehenden Aktien, steht den Aktionären eine weitere Annahmefrist von 2 Wochen zu, in der sie das Angebot noch annehmen können. Diese weitere Annahmefrist läuft voraussichtlich vom 4. Dezember 2022 bis zum 18. Dezember 2022 , 24:00 Uhr (MEZ), sofern sich die Annahmefrist nicht aufgrund gesetzlicher Vorschriften verlängert.

5. Wann findet die Abwicklung des Übernahmeangebots und Zahlung des Kaufpreises statt?

Bei einer Abgabe der Annahmeerklärung innerhalb der Annahmefrist wird der Kaufpreis nach dem Ablauf der Annahmefrist ausgezahlt. Bei einer Abgabe der Annahmeerklärung erst in der zweiwöchigen weiteren Annahmefrist wird der Kaufpreis nach Ablauf dieser weiteren Annahmefrist ausgezahlt
